Welcome to BoundFor. These Terms of Service ("Terms") govern your access to and use of the BoundFor website and services. By accessing or using BoundFor, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

1. Acceptance of Terms

By accessing or using BoundFor ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms, including the beta testing provisions. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

These Terms constitute a legally binding agreement between you and BoundFor Limited, a company registered in New Zealand.

2. Beta Testing Terms

2.1 Beta Status: The Service is currently in beta testing phase. This means the Service is still under development and has not been fully tested. The beta version is provided for testing and evaluation purposes only.

2.2 Known Issues: You acknowledge that the beta Service may contain bugs, errors, defects, and other problems that could cause system failures, data loss, or other issues. The Service may not function as intended or as described.

2.3 No Reliance: You should not rely on the beta Service for any critical decisions. The information provided through the Service, including school data and reports, should be verified independently before making any educational decisions.

2.4 Data Precautions: You are advised to safeguard any important data and not to submit highly sensitive personal information to the Service during the beta period.

2.5 Changes and Discontinuation: We reserve the right to modify, suspend, or discontinue the beta Service at any time without notice. We may also reset data, remove features, or make other changes as necessary for testing purposes.

3. Description of Service

BoundFor provides school information, comparison tools, and personalized school reports for families in New Zealand. Our services include:

  • Access to publicly available school data from government sources
  • School comparison and zone checking tools
  • Personalized school reports for purchase
  • Commute time calculations

4. User Accounts

4.1 Registration: To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration.

4.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4.3 Account Termination: We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice, particularly during the beta period.

5. Payments and Refunds

5.1 Pricing: Prices for reports and services are displayed in New Zealand Dollars (NZD) and include GST where applicable.

5.2 Payment Processing: Payments are processed securely through Stripe. We do not store your payment card details.

5.3 Digital Products: Reports are digital products delivered via email and download. Once a report has been generated and delivered, it is generally non-refundable.

5.4 Beta Period Refunds: During the beta testing period, we will consider refund requests on a case-by-case basis, particularly where the Service has failed to function as described. Contact us at support@boundfor.nz.

6. Disclaimers

PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY.

6.1 "As Is" and "As Available": THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

6.2 No Warranty: WE DO NOT WARRANT THAT:

  • The Service will meet your requirements or expectations
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service is free of viruses or other harmful components

6.3 Data Accuracy: While we strive to provide accurate and up-to-date school information, we compile data from public sources including the Ministry of Education and ERO. School data may change and we cannot guarantee the accuracy, completeness, or timeliness of any information. YOU SHOULD INDEPENDENTLY VERIFY ALL INFORMATION BEFORE MAKING ANY EDUCATIONAL DECISIONS.

6.4 Third-Party Data: We are not responsible for the accuracy or reliability of data obtained from third-party sources, including government databases, Google Maps, or other external services.

7. Limitation of Liability

THIS SECTION LIMITS OUR LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

7.1 Exclusion of Damages: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOUNDFOR, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Personal injury or property damage
  • Damages arising from your use or inability to use the Service
  • Damages arising from any content obtained from the Service
  • Damages arising from unauthorized access to your account or data

7.2 Cap on Liability: IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED NEW ZEALAND DOLLARS (NZD $100.00).

7.3 Educational Decisions: BoundFor provides information to assist with school selection but does not make recommendations or guarantees about any particular school or educational outcome. WE ARE NOT LIABLE FOR ANY DECISIONS YOU MAKE BASED ON INFORMATION PROVIDED THROUGH THE SERVICE.

7.4 Beta Acknowledgment: You expressly acknowledge and agree that your use of the beta Service is at your sole risk. You assume all risks and all costs associated with your use of the Service, including any Internet access fees, backup expenses, costs incurred for the use of your device, and any damage to your equipment, software, information, or data.

8. Indemnification

You agree to indemnify, defend, and hold harmless BoundFor and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any content you submit to the Service.

9. Intellectual Property

9.1 Our Content: All content, features, and functionality of the Service (excluding public government data) are owned by BoundFor and are protected by copyright, trademark, and other intellectual property laws.

9.2 Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

10. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Scrape, crawl, or use automated means to access the Service
  • Reproduce, distribute, or create derivative works from the Service
  • Use the Service to transmit harmful content or malware

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

12. Consumer Guarantees Act

12.1 Consumer Rights: If you are a consumer under the New Zealand Consumer Guarantees Act 1993 (CGA), certain guarantees that cannot be excluded may apply to the Service.

12.2 Beta Limitation: To the extent permitted by law, the Service is provided for evaluation and testing purposes during the beta period, and you acknowledge that it may not meet the standards of a completed commercial product. Where the CGA applies and cannot be excluded, our liability is limited to re-supplying the Service or refunding the price paid.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, your right to use the Service will immediately cease. Sections 6, 7, 8, and 15 shall survive any termination of these Terms.

15. Governing Law and Disputes

15.1 Governing Law: These Terms are governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law principles.

15.2 Jurisdiction: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

15.3 Disputes Resolution: For claims under NZD $30,000, disputes may be resolved through the Disputes Tribunal of New Zealand.

16. General Provisions

16.1 Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and BoundFor.

16.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

16.3 Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
